Welcome to Tweedva. The following Terms of Service constitute a legally binding agreement between you (the client, distributor, or wholesale partner) and Tweedva International Ltd. By accessing our website, requesting samples, or placing production orders, you agree to be bound by these terms.

2. Use of Website

Our digital platform is intended solely for commercial entities, wholesale buyers, and enterprise partners. You agree to use this website only for lawful B2B inquiries, sourcing, and procurement purposes. Any unauthorized use of site content, including scraping, data mining, or duplication of our proprietary product catalogs, is strictly prohibited.

3. Product Information & Customization

We specialize in the design and mass production of premium handbags, utilizing high-grade materials including tweed, genuine leather, PU, and canvas. Our catalogs and services are exclusively tailored for enterprise wholesale.

Note on Variations: Due to the nature of custom OEM/ODM manufacturing and raw material sourcing, slight variations in texture, color, and finish may occur between production batches. These variations are standard within the textile and leather goods industry and do not constitute a defect.

4. Orders & Minimum Order Quantity (MOQ)

To maintain our rigorous factory efficiency and quality standards, all commercial orders are subject to Minimum Order Quantities (MOQ):

• Standard MOQ: 200 pieces per specific design and color.
• New Client Trial Orders: To support the development of new strategic partnerships, we accommodate a reduced MOQ of 100 pieces for your initial trial order.

All orders are considered confirmed only upon the receipt of the required deposit and signed Proforma Invoice (PI).

5. Pricing & Payment Terms

All quoted prices are strictly confidential and intended for the receiving enterprise only. Unless otherwise stated, prices are quoted in USD. Our standard payment terms are:

• Method: Telegraphic Transfer (T/T) to our designated corporate bank account.
• Deposit: A 30% non-refundable deposit is required to initiate raw material sourcing and bulk production.
• Balance: The remaining 70% balance must be cleared upon completion of production and prior to final shipment release.

6. Sampling Policy

We provide comprehensive prototyping services guided by your personal engineer. The standard sampling cost is $50 USD per piece. Upon finalization of technical specifications and receipt of the sample fee, our standard sample lead time is 7 days. Sample fees may be credited towards your bulk order, subject to contract terms.

7. Production & Lead Time

Bulk production commences only after final sample approval and receipt of the 30% deposit. Standard production lead times range from 25 to 40 days, depending on order volume, material availability, and factory capacity. We will provide a definitive production schedule within the Proforma Invoice.

8. Shipping & Delivery

We facilitate international logistics under standard Incoterms (e.g., FOB Guangzhou or CIF). The client is responsible for all customs duties, import taxes, and localized port fees unless explicitly stipulated otherwise. Tweedva International Ltd is not liable for delays caused by customs clearance, force majeure, or third-party freight forwarders.

9. Quality Control & Inspection

Quality assurance is the cornerstone of our 13-year manufacturing legacy. We enforce a strict multi-stage Quality Control (QC) protocol—from raw material inspection to final packaging. Clients are permitted to arrange third-party inspections (e.g., SGS, Intertek) at our Guangzhou facility prior to the final balance payment. Inspections must be scheduled at least 5 days in advance.

10. Intellectual Property Rights

We fiercely protect our clients' intellectual property. Any custom designs, tech packs, logos, or specifications provided to us for OEM/ODM manufacturing remain your exclusive property. Tweedva International Ltd guarantees no unauthorized reproduction, distribution, or brand infringement of your proprietary assets.

11. Returns & Claims

Due to the custom nature of bulk manufacturing, returns are not accepted for non-defective merchandise. Any claims regarding manufacturing defects, shortages, or discrepancies must be submitted in writing within 14 days of receiving the shipment at the destination port. Claims must be accompanied by detailed photographic evidence and inspection reports.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Tweedva International Ltd shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data, arising out of or in connection with our manufacturing services or the use of our products.

13. Governing Law

These Terms of Service and any separate commercial agreements shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts located in Guangzhou City, China.

14. Changes to Terms

Tweedva International Ltd reserves the right to update, modify, or replace any part of these Terms of Service at our sole discretion. It is your responsibility to check this page periodically for changes. Continued engagement in business with us following the posting of any changes constitutes acceptance of those changes.
